A Resolution Appointing Dawn M. Caldwell as Interim Village Manager

                     WHEREAS, the present Village Manager, Stephen J. Gulden, pursuant to an agreement approved by Resolution 20-3017, is retiring effective as of November 30, 2020, thereby creating a vacancy in the position of Village Manager after such date; and

 

                     WHEREAS, the responsibilities of the Village Manager over the operations and management of the Village’s business and affairs are such that the best interests of the Village are served by the appointment of an Interim Village Manager to carry out and exercise all responsibilities, duties, functions and powers of the office of Village Manager pending the Village’s selection and appointment of a new Village Manager on a permanent appointment basis; and

 

                     WHEREAS, the appointment of current Assistant Village Manager Dawn. M. Caldwell as Interim Village Manager serves the best interests of the Village and provides for the effective and efficient management of the Village’s operations and affairs pending its selection and appointment of a Village Manager on a permanent appointment basis; and

 

                     WHEREAS, it is the intention of the Corporate Authorities to appoint Assistant Village Manager Dawn. M. Caldwell to the position of Village Manager on a permanent basis at a later date, subsequent to the swearing in of the elected officials elected to office in the April 2021 election, with the interim appointment herein being made in consideration of the limitations of 65 ILCS 5/3.1-30-5.

 

                     NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:

 

                     SECTION ONE.  The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.

 

                     SECTION TWO.   That the Village President, with the advice and consent of the Village Board of Trustees, hereby appoints Assistant Village Manager Dawn M. Caldwell as Interim Village Manager pending the Village’s selection and appointment of a Village Manager on a permanent appointment basis.  Nothing herein shall be deemed to alter, modify or affect Dawn M. Caldwell’s employment status as Assistant Village Manager, it being the intent of this resolution that she carry out her duties and responsibilities as Assistant Village Manager while at the same time serving as Interim Village Manager and carrying out and exercising all responsibilities, duties, functions and powers of the office of Village Manager.  The appointment made herein shall take effect on December 1, 2020, and shall last until such time as the Village shall have appointed a Village Manager on a permanent basis or until the swearing in of the Village elected officials elected to office in the April 2021 election, whichever shall first occur. 

 

                     SECTION THREE.  That in consideration of her appointment herein as Interim Village Manager and the assumption of the duties and responsibilities of the office of Village Manager, Dawn M. Caldwell shall be compensated during the term of the appointment made herein at an annual salary of $160,000.00, payable at her regular pay periods.

 

SECTION FOUR.  That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.

 

                     SECTION FIVE.  All prior Resolutions and Resolutions, or parts thereof in conflict or inconsistent with this Resolution are hereby expressly repealed only to the extent of such conflict or inconsistency.

 

                     SECTION SIX.  This Resolution shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law.
