A Resolution Approving the Release of Certain Property from an Amendment to Development Agreement dated November 21, 2008 and from a Development Agreement dated April 5, 2010 (PDV Midwest Refining LLC-Conveyance to US Army Corps of Engineers)

WHEREAS, an Amendment to Development Agreement dated November 21, 2008, was executed by the Village of Romeoville, Illinois and PDV Midwest Refining, L.L.C., and was recorded December 2, 2008, as Document No. R2008-142317 in the Will County, Illinois, Recorder's Office.
WHEREAS, a Development Agreement dated April 5, 2010, was executed by the Village of Romeoville, Illinois and PDV Midwest Refining, L.L.C., and was recorded April 9, 2010 as Document No. R2010-036465 in the Will County, Illinois, Recorder's Office.
WHEREAS, PDV Midwest Refining, L.L.C. has entered into an agreement to sell a portion of a certain piece of real property located in the Village of Romeoville, Will County, Illinois. to the United States of America and its assigns, and this property is subject to the Agreements set forth above. The property is more particularly described in Exhibit A, attached hereto and made part hereof.
WHEREAS, in order to for the United States of America to purchase property described in Exhibit A, PDV Midwest Refining, L.L.C. requests that the property described in Exhibit A be released from the Amendment to Development Agreement dated November 21, 2008, and the Development Agreement dated April 5, 2010, and the terms and conditions of both Agreements which run with the real property.
NOW, THEREFORE, the Village Board of the Village of Romeoville, Will County, Illinois, upon this date of November 18, 2020, does release the real property described in Exhibit A from the Amendment to Development Agreement dated November 21, 2008, and any previous versions of the 2008 Development Agreement, and the Development Agreement dated April 5, 2010, and all terms and conditions of these agreements.
