A Resolution Authorizing the Execution of Three Addenda to a Contract Approved by Village Resolution No. 20-2865 between the Village of Romeoville and Harbour Contractors, Inc. (RAEC Expansion--Aquatics Center Building Construction Management Services)

WHEREAS, the Village of Romeoville and Harbour Contractors, Inc. have heretofore entered into a contract approved by Village Resolution No. 20-2865 pertaining to the Romeoville Athletic and Event Center (RAEC) Expansion Project and also into a contract approved by Village Resolution No. 19-2774 pertaining to preconstruction services for the RAEC Expansion Project
WHEREAS, the Village of Romeoville has determined that the RAEC Expansion Project should for the benefit of the general public be modified to include the development of an aquatics center including a lap pool, zero depth area, water slide and related recreational and support amenities; and
WHEREAS, in order to memorialize the above-mentioned modification to the RAEC Expansion Project, the Village of Romeoville and Harbour Contractors, Inc. have determined that it is necessary to execute three addenda to modify the aforementioned contracts, one to remove reference to preconstruction services from the contract approved by Resolution No. 20-2865 and make additional minor language changes to said contract (attached hereto and incorporated herein as Exhibit A-1), one to include all reference to preconstruction services in the agreement approved by Resolution No. 19-2774 (attached hereto and incorporated herein as Exhibit A-2), and one to increase General Conditions and Reimbursable amounts in the contract approved by Resolution No. 20-2865 (attached hereto and incorporated herein as Exhibit A-3).
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES FOR THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS, that:
Section 1: Incorporation of Recitals: The foregoing recitals are hereby expressly incorporated into and made a part of this Resolution as if fully set forth herein.
Section 2: Approval of Execution of Addenda: The proper officers of the Village are hereby authorized and directed to execute the addenda to the contracts with Harbour Contractors, Inc. approved by Village Resolution Nos. 20-2865 and 19-2774, in the form attached hereto and incorporated herein as Exhibits A-1, A-2 and A-3, all subject to the final review and approval of the Village Manager and the Village Attorney.
Section 3: Repealer: All other Resolutions or parts of ordinances of the Village of Romeoville that are inconsistent with this ordinance are hereby expressly repealed.
Section 4: Severability: In the event any word, phrase, clause, sentence, paragraph, provision, or section of this Resolution or any portion thereof shall be held to be unconstitutional, unenforceable, or void, the same shall not affect the validity or enforceability of any remaining words, phrases, clauses, sentences, paragraphs, provisions, or sections thereof.
Section 5: Effective Date: The Resolution shall take effect after its passage, approval, and publication in pamphlet form, as regulated by law.
