A Resolution Accepting and Ratifying an Agreement with DocNetwork, Inc. ("CampDocs")

WHEREAS, pursuant to the provisions of 65 ILCS 5/8-9-1 and the provisions of Chapter 36.43(C) of the Village Code of Ordinances, the Village of Romeoville may by a vote of 2/3 of its Trustees then holding office, waive the otherwise applicable requirements for public bidding, whether for labor, services or work, the construction of public works or improvements, or the purchase, lease or sale of personal property, materials, equipment or supplies; and
WHEREAS, the Village of Romeoville has determined that it is in its best interests to enter into a contract with DocNetwork, Inc. in substantially the form attached as Exhibit A, and to waive the aforementioned bidding procedures in connection therewith.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:
SECTION ONE. The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.
SECTION TWO. That pursuant to the provisions of 65 ILCS 5/8-9-1 and the provisions of Chapter 36.43(C) of the Village Code of Ordinances, the Corporate Authorities of the Village hereby waive the public bidding requirements otherwise applicable to the acceptance of the above-referenced proposal, and ratify and authorize the execution of an agreement with DocNetwork, Inc., in substantially the form attached as Exhibit A.
SECTION THREE. That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.
SECTION FOUR. All prior Resolutions and Resolutions, or parts thereof in conflict or inconsistent with this Resolution are hereby expressly repealed only to the extent of such conflict or inconsi...
