A Resolution Authorizing the Delivery of Certain Previously Purchased SCBA Equipment and the Acceptance, Retention and/or Delivery of Certain Additional SCBA Equipment  by and from Air One Equipment, Inc.

WHEREAS, the Village of Romeoville, through its Fire Department, has heretofore purchased certain SCBA Equipment and accessories, as set forth in the proposed delivery receipt attached hereto and incorporated herein as Exhibit A; and

 

WHEREAS, the Village has to date not accepted delivery of the SCBA equipment and accessories itemized in Exhibit A from Air One Equipment, Inc., the seller of the equipment identified therein ; and

 

WHEREAS, as a condition to its acceptance of the delivery of the equipment identified in Exhibit A, the Village has requested the seller of the SCBA equipment identified in Exhibit A to deliver to the Village or, if already possessed by the Village, to retain the additional SCBA equipment and accessories itemized in Exhibit B, a copy of which is attached hereto and incorporated herein, and to execute bills of sale and other documentation to confirm the Village’s ownership of all of the equipment identified in Exhibits A and B; and

 

WHEREAS, no additional financial payment or consideration shall be due or owing from the Village in connection with the delivery and/or retention of possession of the SCBA equipment identified in Exhibits A and B.

 

                     NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:

 

                     SECTION ONE.  The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.

 

                     SECTION TWO.   That the proper officials of the Fire Department are hereby authorized and directed to accept delivery of the SCBA equipment and accessories identified in Exhibit A from the above-named seller thereof, upon the conditions that (i) the seller of the SCBA equipment and accessories shall also deliver to the Fire Department all of the SCBA equipment and accessories identified in Exhibit B, or if the Fire Department shall already be in possession of all or any part of the SCBA equipment and accessories identified in Exhibit B, the seller of the SCBA equipment and accessories shall allow the Fire Department to retain any such items of SCBA equipment and accessories identified in Exhibit B as are presently in the possession of Fire Department, and (ii) that the above-named seller of the equipment identified in Exhibit A shall deliver to the Fire Department such bills of sale or other documents as may be reasonably requested by the Fire Department to confirm the Village’s ownership of all equipment and accessories set forth in Exhibits A and B.

 

SECTION THREE.  That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.

 

                     SECTION FOUR.  All prior Resolutions and Resolutions, or parts thereof in conflict or inconsistent with this Resolution are hereby expressly repealed only to the extent of such conflict or inconsistency.

 

                     SECTION FIVE.  This Resolution shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law.
