A Resolution Authorizing the Execution of an Amended and Restated Agreement with BRT Outdoor LLC (Video Display Panels at Community Identification Display Locations)

WHEREAS, the Village of Romeoville has heretofore entered into an agreement with Outdoor Impact LLC pursuant to Resolution No. ___________, as amended by an amendment thereto approved by Resolution No. _______________ (collectively, the "Original Agreement"); and

WHEREAS, BRT Outdoor LLC has now succeeded to the interests of Outdoor Impact LLC under the Original Agreement; and

WHEREAS, Village and BRT Outdoor desire to make certain revisions to the Original Agreement, as reflected in the amended and restated agreement between the parties attached hereto and incorporated herein as Exhibit A (the "Amended and Restated Agreement"); and

WHEREAS, among other matters, the Amended and Restated Agreement provides for the establishment and operation of an additional Video Display Panel at a new Community Identification Display Location at the northwest corner of the intersection of Renwick Road and Weber Road.

NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:

SECTION ONE. The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.

SECTION TWO. That the Village President and Village Clerk are authorized and directed to execute and attest to the execution of the Amended and Restated Agreement with BRT Outdoor LLC, subject to final Village Manager and Village Attorney review.

SECTION THREE. That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.
