WHEREAS, the Village, on November 1, 2017, entered into a Development Agreement with ONEOK North System, L.L.C., recorded as Document No. R2017094419 with the Will County Recorder's Office (the "Agreement"), and thereafter entered into an amendment to the Agreement on April 4, 2018, recorded as Document No. R2018027176 (the "First Amendment"); and

WHEREAS, the Village of Romeoville has determined that is in the best interests of the Village to authorize the execution of a second amendment (the "Second Amendment") to the Agreement with ONEOK North System, L.L.C., in substantially the form attached hereto and incorporated herein as Exhibit A, and subject to the conditions hereinafter set forth.

NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:

SECTION ONE. The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.

SECTION TWO. The President and Clerk are hereby authorized to execute and attest to the execution of the Second Amendment to the Agreement with ONEOK North System, L.L.C. in substantially the form attached hereto as Exhibit A, provided, however, that the approvals contained herein and the obligation of the President and Clerk to respectively execute and attest to the execution of the aforesaid development agreement are expressly made subject to the final review and approval of the same by the Village Manager and the Village Attorney.

SECTION THREE. That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.
