A Resolution Authorizing the Execution of an Agreement with Amilia Technologies USA INC.

WHEREAS, pursuant to the provisions of 65 ILCS 5/8-9-1 and the provisions of Chapter 36.43(C) of the Village Code of Ordinances, the Village of Romeoville may by a vote of 2/3 of its Trustees then holding office, waive the otherwise applicable requirements for public bidding, whether for labor, services or work, the construction of public works or improvements, or the purchase, lease or sale of personal property, materials, equipment or supplies; and
WHEREAS, the Village of Romeoville has determined that it is in its best interests to enter into an agreement with AMILIA TECHNOLOGIES USA INC. all in the form attached hereto as Exhibit A.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:
SECTION ONE. The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.
SECTION TWO. Pursuant to the provisions of 65 ILCS 5/8-9-1 and the provisions of Chapter 36.43(C) of the Village Code of Ordinances and upon a two-thirds vote of the Corporate Authorities now holding office, the otherwise applicable public bidding procedures are waived, and the proper officers of the Village are authorized and directed to execute and attest to the execution of the agreement with AMILIA TECHNOLOGIES USA INC., all in the form attached hereto as Exhibit A, subject to final Village Manager and Village Attorney review.
SECTION THREE. That the proper officers of the Village are authorized and directed to execute such correspondence, notice or other documentation as may be necessary to effectuate the termination of an existing agreement with Vermont Systems, Inc. approved by Village Resolution No. 19-2701, in accordance with the applicable terms of such agreement.
