A Resolution Authorizing the Execution of A release and settlement

WHEREAS, the Village of Romeoville has determined that it is in the best interests of the Village to enter into a release and settlement in substantially the form attached hereto as Exhibit A, in order to fully and finally resolve all issues involving the Village in certain litigation in the US District Court for the Northern District of Illinois identified as Case Nos. 19-cv-7265 and 22-cv-5703.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:
SECTION ONE. The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.
SECTION TWO. That the Village Manager is authorized and directed to execute and attest to the execution of the release and settlement in substantially the form attached hereto as Exhibit A, and that all actions of the Village Manager heretofore taken in furtherance of the foregoing are hereby ratified and confirmed in all respects, and further that the Village Manager is further authorized to cause the Village to take all acts necessary in the performance of the aforesaid release and settlement.
SECTION THREE. That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.
SECTION FOUR. All prior Resolutions and Resolutions, or parts thereof in conflict or inconsistent with this Resolution are hereby expressly repealed only to the extent of such conflict or inconsistency.
SECTION FIVE. This Resolution shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law.
