A Resolution Authorizing a Waiver of the Bidding Process and Authorizing a Purchase Agreement with Axon Enterprise, Inc. (Vehicle Cameras; Software Licenses)

WHEREAS, the Village of Romeoville desires to accept the purchase agreement with Axon Enterprise Inc. for vehicle mounted cameras and associated software licenses, all in the form attached hereto and incorporated herein as Exhibit A, at a price of $410,742.85; and
WHEREAS, pursuant to the provisions of 65 ILCS 5/8-9-1 and the provisions of Chapter 36.43(C) of the Village Code of Ordinances, the Village of Romeoville may by a vote of two-thirds of its Trustees then holding office, waive the otherwise applicable requirements for public bidding, whether for labor, services or work, the construction of public works or improvements, or the purchase, lease or sale of personal property, materials, equipment or supplies.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:
SECTION ONE. The foregoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.
SECTION TWO. Waiver of Public Bid Requirements: Pursuant to the provisions of 65 ILCS 5/8-9-1 and the provisions of Chapter 36.43(C) of the Village Code of Ordinances, the Corporate Authorities of the Village hereby waive the public bidding requirements otherwise applicable to the acceptance of the purchase agreement with Axon Enterprise Inc. attached hereto and incorporated herein as Exhibit A, and further authorize the execution of any other documents as may reasonably be required in connection therewith, subject to final Village Manager and Village Attorney review and approval thereof.
SECTION THREE. That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.
SECTION FOUR. All prior Resolutions and Resolutions, or parts thereof in conflict or inconsistent with this Resolution are hereby expressly repealed only to the extent of such conflict or inconsistency.
SECTION FIVE. This Resolution shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law.
