A RESOLUTION AUTHORIZING A REPRESENTATIVE TO SIGN IEPA SRF LOAN DOCUMENTS

WHEREAS, the Village of Romeoville has in the past approved the execution of loan agreements with the IEPA for loan funding for Village projects under the auspices of the IEPA State Revolving Fund (SRF) for both Water Pollution Control Loan Program (WPCLP) funding which funds both wastewater and storm water projects, and/or for Public Water Supply Loan Program funding (PWSLP) which funds drinking water projects, and expects from time to time in the future to approve loan application for loan funding from the SRF for such types of projects in the future; and
WHEREAS, these loan agreements include but are expressly not limited to the loan agreements previously authorized by Ordinance Nos. 23-1828 (Spangler Lift Station Improvements), 25-1966 (Five Year Water Main Replacement Program) and 25-1967 (Wastewater Treatment Plant 7.5 MGD Project), and also include all future loan agreements applied for and authorized by the Corporate Authorities of the Village of Romeoville; and
WHEREAS, in the interests of the prompt and efficient conduct of the Village’s business in connection with the aforementioned loans and to facilitate prompt performance of the Village thereunder, it is in the best interests of the Village of Romeoville to authorize the Village Manager as an authorized signatory of all documentation required by or in connection with the aforementioned loans, both existing and future, in addition to and without limiting the existing and future authorization of the Village President to likewise act as an authorized signatory on all such SRF loan documentation.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF ROMEOVILLE, WILL COUNTY, ILLINOIS:
SECTION ONE. The forgoing Recitals are hereby incorporated into this resolution as if fully set forth in this Section 1.
SECTION TWO. The Village Manager of the Village of Romeoville is hereby designated as an authorized signatory of any and all existing or future the IEPA State Revolving Fund (SRF) loan documents, in addition to and without limitation of the authority granted to the Village President in connection therewith.
SECTION THREE. That the various provisions of this Resolution are to be considered severable and if any part or portion of this Resolution shall be held invalid by any Court of competent jurisdiction, such decision shall not affect the validity of the remaining provisions of this Resolution.
SECTION FOUR. All prior Resolutions and Resolutions, or parts thereof in conflict or inconsistent with this Resolution are hereby expressly repealed only to the extent of such conflict or inconsistency.
SECTION FIVE. This Resolution shall be in full force and effect from and after its passage, approval and publication in pamphlet form as provided by law.
